Affiliation Issues with Small Business Start Ups

Does anyone have advice or can you direct me to an attorney such that my new small business concern can avoid any pitfalls related to affiliation?  In my case, I am planning optimistically that I may need to subcontract initial work to a previous employer but want to avoid any pitfalls associated with that plan.  I am also looking for counsel related to the potential penalties associated if an affiliation was determined by SBA.  Thanks

I suggest you start with SCORE (score.org) or find a small business development center (SBDC) in your area. Both are free and can guide you in the right direction.

Fallint - Could you please clarify your question? Are you asking advice on how to downplay an affiliation with an under-performing subcontractor that you've either hired, or will be hiring? Or are you asking about SBA loan penalities?
