It seems like you have two separate questions here. The first is with respect to taxes. The second is with respect to keeping the business name. With respect to the taxes question, if the business is inactive and you want to keep it that way, I don't see how it would be liable for taxes. That assumes that the business is not generating any income while it is inactive and therefore would not have a state or federal income tax liability (which is income based). That being said, I'm not sure if you are specifically referring to another local tax for which you may be liable, that is not income based so that would depend on your location. With respect to the business name, I think it would be fair game for someone else to use ifyou havetaken formal steps (i.e. filed articles of dissolution with the state, notified creditors, etc.) to close the business. You may be able to keep the company name by not taking those steps and basically just keeping the entity as an inactive shell.

Thank You for the help but, according to my accounted I'm reliable for minimumfor the State tax from ? up to $800. and I wouldn't have federal taxes due . Do I have to write anything special in the tax forms to let the IRS know that I have no money to pay and my bussiness is innactive right now. Thank You again.

If your corporation is not closed you may be liable for minimum state corporate taxes. As far as the IRS goes you don't pay taxes unless you have income in the business. You are still required to file a tax return, you would just show that you have no income for the business. You could still run some expenses through it and if it's an S corp you could get the deduction on your personal return.
