I have been doing estate planning and irrevocable trust asset protection for more than 20 years and I have more than 35 years of business experience.  I have a CPA, MBA, Masters in Taxes, CWPP, CAPP, and MMB. From my perspective, if you are doing business your shares of your S-corp or LLC need to be owned by an irrevocable trust with an independent trustee.  The best states for LLC's in my opinion are DE and NV and I favor the LLC over the S-corp if it is owned by the irrevocable trust.  This structure takes about 500K to litigate if put together correctly.  The way the assets are put into the trust are also critical for asset protection.  Finally, this type of structure, if put together correctly, should be 100% tax neutral - and could even give you a step up in basis given certain parameters.

Thanks NR. I have already picked 3 CPA/acouning firms and 3 law offices to screen in my selection process. My thought is to choose the accounting person first on the assumption they can provide more help with my business plan.

Yes, as long as one of the members of the L.L.C. reside in the state it's being formed in. However, you'll both want an experienced business attorney to properly setup your articles of corporation and operating agreement. I'd also suggest you speak with a CPA to see what exactly needs to be done tax wise.
