A client registered a company many many years ago in Delaware (10-12 years I think). Due to problems with the registered agent, he didnt pay state fees for many years. I think RA just disappeared.
Now he has a backlog of fees to pay on this company.
He doesnt want to pay fees. He has no use for this company.
But he wants to set up a new company.
What is the proper procedure in this? Is there a government or state amnesty in these situations?

I don't think it is that simple since he is the owner of the now-defunct company that has a TIN (Taxpayer ID No).
If there is an amnesty of some sort, i bet he will pay. But he is not willing to pay $6K on back fees and penalties.
Anyone experienced in state or government amnesties in these situations?

You may need to get advice from an attorney. In my state, if the fees weren't paid, the business would have been administratively dissolved by the secretary of state's office after the first year and no further fees would have accrued. Because fees are continuing to accrue, something else may be going on and you may need an attorney's assistance to figure it out.

This business is still in REVOKED status after 10 years. It is not PERMANENTLY REVOKED, it is not DISSOLVED.
Client wanted to pay to dissolve that company but he was told by the SOS office that he needed to clear past fees and penalties for dissolution. Expiration date for the license shows 2500!
I was just curious if anyone heard something like an amnesty from the state for these cases.
