How the two governments can resolve the disputes?

Based upon the following hypothetical facts and the information you obtain from the texts of the US-Korea FTA.
Korean government established a free trade area in the city of Seoul according to the provisions in the US-Korea FTA and a company whose name is 'A Corp' has been formed by a Korean citizen Mr. Kim and Mr.Clinton agreed to contribute 50% of the capital of A Corp respectively by the end of November 30, 2008. Pursuant to the agreement between Mr. Kim and Mr.Clinton, Mr.Kim contributed his portion of capital to A Corp on November 28, 2008. However, Mr.Clinton has not put his portion of capital into A Corp till today. Because of Mr.Clinton's failure of performing his obligation to invest, A Corp could not start its business on time. Mr,Kim is also sustaining a great damage for this happening. On the other hand, Mr,Clinton argues that he could not invest his protion of capital because the US government is now disputing with the Korean government contending Korean government's failure to comply with the provisions of the US-Korea FTA with respect to the establishment of the free trade area.
I think about this topic over and over. But It is very difficult to know way to resolve. How about your opinion?
