Need help in registering my business

Hello my name is Steven. Im in the process of setting up my shop looking to register and get a re-seller certificate. Also not sure what I should label my self as a LLc or sole proprietor or any others? A quick briefing is that this business is self owned and planning to be the only employee, at least for the next year. And last thing, this business will be in the state of Massachusetts.

There is no hard and fast rule for which business structure is the best for doing business. Each business structure has its own pros and cons. I recommend you do some research: Starting & Registering a Business in Massachusetts and read carefully the step by step requirements for business in Massachusetts.

You may want to start by reading the 'Start a Business' and the 'Massachuestts Small Business Guide' sections of this web site. Also check your MA state web site for information on registering a business and obtaining a reseller's permit. You may want to spend some time researching the differences between registering as an LLC and being a sole proprietor. Legally, a sole proprietorship is an extension of you, the business owner. It is not a separate legal entity. The assets and debts of the business are considered to be your personal assets and debts. This places your personal assets at risk should anything go wrong with the business. An LLC is considered a separate legal entity. Should you be sued or something else happen, only the assets of the business are affected; your personal assets are protected. It is often easier to later sell an LLC than a sole proprietorship because it is a unique entity. Registering as an LLC is fairly easy to do; you can download the forms from the MA state web site, fill them out and return them. You will need to have an attorney create an Operating Agreement for you to govern the business. In many states, lawyers have a template that can be customized to your business. My attorney charged me only $65 to create the operating agreement.
