Questions about forming C-Corporation

I want to register a C - corporation in Delaware and I have 3 questions:
1. ? - Corporation bylaws do not include provisions for rights of first refusal or buy-out provisions for stockholders. Corporation stockholders may consider a Stockholders Agreement.
Where can I find samples of C - Corporation Stockholders Agreement?
2. If a C - Corporation wants to make changes in its shareholders structure what documents are required to fill out to make such changes?
Does a C-corporation need to make an official statement to the Division of Corporations or to another government department about the changes in the shareholders structure?
3. Does the charter capital exist in a C - corporation?
If yes, when does a C-corporation need to create charter capital? What is the minimal amount of a C - Corporation's charter capital?
