Starting an online ecommerce

Hi guys,
I'm a Canadian citizen who wants to start up an online ecommerce buisness with a friend, who does happen to be an american citizen. I plan on going back to Canada in a few months, but will be helping my friend manage the site and the transactions that take place. I was wondering, since I am a founder, and guess you can say an investor (i.e. 50-50 share with my friend), would I run into legality issues since I am running an online buisness in the states, but am not an american citizen? Do I need to get a different type of visa? perhaps a investor visa (but i heard you have to invest a lot of money for that to get one). I am currently on a F-1 student visa, but I will be graduating this May, and the buisness doesn't go online till later this year.
