Pricing an H&R Block Tax Service

I am in the process of negotiations with the current owner of an H&R Block Franchise. He is pricing the franchise at 2.5 times the sales after royalities. I feel that the pricing should be 2.5 times the net profit. The assets of the business include the furniture and equipment which come to about $30k, and the net profit after expenses was $60k. The net sales after royalities were $100k. He is looking at $250k. SInce the assets do not amount to much, the only other asset is the preparers which are seasonal employees so that is not a true asset. Goodwill is the area I am trying to determine for this type of business. I am trying to find others that have purchased similiar business' or have some ideas of the pricing of this type of business.
